Terms of Service of Simplixity Networks

Who We Are

Simplixity Networks (“we,” “us,” or “our”) provides web design, hosting, maintenance, and related digital services.
Our domain is: simplixity.net.

1. Acceptance of Terms

By using our website, purchasing our services, or entering into a service agreement with us, you agree to these Terms of Service.
If you do not agree, please do not use our services or access restricted resources.

2. Services Provided

  • Web design & development
  • Web hosting & domain management
  • Email setup & support
  • Content updates, maintenance & security monitoring
  • Performance optimization & backups

3. Payment Terms

All services are invoiced as per the written agreement or proposal. Hosting, domain, and subscription services are billed in advance, either monthly or annually.

Invoices are due within 14 days of issuance unless otherwise agreed in writing.
If payment is not received within 15 days of the due date, the invoice becomes overdue.
A late fee of 5% of the invoice total may be added for each 15‑day period the invoice remains unpaid.
Services may be suspended or terminated if payment remains unpaid for 30 days past the due date.
If a project has payment milestones (e.g. deposit, mid‑project), failure to meet a milestone will pause all work until payment is received.
Accepted payment methods include credit/debit cards, ACH transfers, or other agreed methods. Any fees for bank or payment processor charges are the client’s responsibility.
All fees are non‑refundable, including deposits. Domain registration or third‑party licenses are non‑refundable once provisioned.

4. Client Responsibilities

You agree to provide necessary content, materials, and approvals in a timely manner so that projects are not delayed.
You are responsible for ensuring that all content you supply does not infringe third‑party rights or applicable laws.

5. Intellectual Property & Ownership

Until full payment is received, Simplixity Networks retains ownership of deliverables. Upon full payment, you receive rights to the delivered work (designs, code, content).
We reserve the right to showcase completed projects in our portfolio, with your permission.

6. Service Availability & Uptime

We strive to maintain reliable service but cannot guarantee 100% uptime. Downtime may occur due to maintenance, acts beyond our control, or third‐party services.

7. Termination

By You (the Client):
You may terminate the services by giving at least 15 days’ written notice.
If terminating a project in progress, you will be responsible for payment of all work completed up to the termination date.
Deposits or prepayments are non‑refundable.
If terminating recurring services (hosting, subscriptions), the service remains active until the end of the current billing period unless otherwise agreed.

By Simplixity Networks:
We may suspend or terminate services immediately for non‑payment, violation of Terms, or use of our services for illegal or abusive activities.
In case of client misconduct or repeated failure to meet obligations, we reserve the right to terminate without further warning.

Effect of Termination:
Access to servers, hosting, websites, or services will cease upon termination.
Clients must back up any data they require prior to termination; we are not responsible for data loss thereafter.
Reinstatement or migration may incur additional fees if requested after termination or suspension.

8. Limitation of Liability

To the fullest extent permitted by law, our liability is limited to the amount you have paid us in the three months prior to any claim. We are not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or profits.

9. Governing Law

These Terms are governed by the laws of the State of Montana. Any disputes will be resolved in the courts of Jefferson County, Montana].
